Copyright & Intellectual Property Policy

01Intellectual Property Ownership

1.1 Core Cognitics Proprietary Rights

All title, ownership, and intellectual property rights in and to the Core Cognitics ecosystem — including the Intelinteract website widget, AI voice and chatbot software, Studio no-code workflow builders, Edge Inference control planes, algorithms, neural voice synthesis engines, trademarks, service marks, logos, brand features, and user interface designs — are owned exclusively by Core Cognitics and its licensors.

Except for the limited license granted under the Master Services Agreement, nothing herein grants Users any right, title, or interest in Core Cognitics' patents, copyrights, trade secrets, trademarks, or proprietary technology.

1.2 Customer Data Ownership

Customer retains all ownership rights, title, and interest in and to:

• All knowledge base documents, patient inquiry FAQs, workflow rules, and data uploaded or submitted by Customer to train or configure the Intelinteract agent ("Customer Inputs"); and
• Customer's trademarks, logos, and brand assets.

1.3 License to Service Outputs

Subject to full payment of applicable subscription fees, Core Cognitics grants Customer a non-exclusive, worldwide, non-transferable license during the subscription term to use, export, and display the interaction transcripts, patient scheduling records, and interaction logs generated by the Intelinteract platform ("Outputs") for Customer's internal business operations.

02Prohibited Uses and IP Protection

Users are strictly prohibited from using Core Cognitics Services or Intelinteract to infringe upon the intellectual property rights of any third party. Specifically, Users shall not:

• Upload, prompt, or ingest copyrighted texts, medical documentation, sound recordings, or proprietary training materials without owning the copyright or possessing explicit license rights;
• Upload audio samples to clone voices or synthesize speech without obtaining explicit written authorization from the individual voice owner;
• Remove, alter, or obscure any copyright notices, trademark tags, or proprietary rights legends on the Intelinteract widget or admin interface;
• Use Core Cognitics trademarks or product names (including Core Cognitics, Intelinteract, Nexivo, Core Studio) in a manner that implies sponsorship, endorsement, or false affiliation without written permission.

03Digital Millennium Copyright Act (DMCA) Compliance

Core Cognitics complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"). We respond promptly to valid notices of alleged copyright infringement concerning material hosted on or transmitted through our platforms.

3.1 Filing a DMCA Notice of Infringement

If you believe that your copyrighted work has been copied, reproduced, or displayed through the Intelinteract widget or Core Cognitics platform in a manner that constitutes copyright infringement, please submit a written DMCA Notice to our Designated Copyright Agent containing the following information:

• Signature: A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
• Identification of Copyrighted Work: A description of the copyrighted work claimed to have been infringed (or a representative list if multiple works are covered by a single notice);
• Identification of Infringing Material: A description of the material claimed to be infringing or to be the subject of infringing activity, along with information reasonably sufficient to permit Core Cognitics to locate the material (e.g., specific widget URL, account ID, or interaction log ID);
• Contact Information: Your full legal name, mailing address, telephone number, and email address;
• Good Faith Statement: A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
• Perjury Statement: A statement made under penalty of perjury that the information in the notification is accurate, and that you are the copyright owner or authorized to act on behalf of the owner.

3.2 Designated DMCA Agent Contact

Note: Submitting knowingly false or misleading claims of copyright infringement may expose the claimant to severe civil liability and legal damages under Section 512(f) of the DMCA.

04Counter-Notification Procedures

If material you posted or uploaded to the Intelinteract platform has been removed or disabled as a result of a DMCA Notice, and you believe the removal was due to a mistake or misidentification, you may file a written Counter-Notification with our Designated Copyright Agent.

4.1 Contents of Counter-Notification

Your Counter-Notification must include:

• Your physical or electronic signature;
• Identification of the material that was removed or to which access was disabled, and the location at which the material appeared before it was removed;
• A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification;
• Your legal name, address, telephone number, and email address;
• A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if outside the United States, the federal courts located in the district where Core Cognitics operates), and that you will accept service of process from the person who provided the original DMCA Notice.

4.2 Restoring Removed Material

Upon receiving a valid Counter-Notification, Core Cognitics will promptly forward a copy to the original complaining party. If the copyright owner does not file a court action seeking a judicial order against the User within ten (10) to fourteen (14) business days, Core Cognitics may restore the disabled material or access.

05Repeat Infringer Policy

Core Cognitics maintains a strict repeat infringer policy. In appropriate circumstances and at our sole discretion, We will terminate the accounts of Users, enterprise clients, or administrators who are determined to be repeat infringers or who demonstrate willful disregard for intellectual property laws.
